Terms of Service

1. Introduction

These Terms form a binding agreement between you ("you", "your") and Elyxis ("Elyxis", "we", "us", "our"). If you do not agree with these Terms, you may not use the Service.

2. Eligibility

You may use Elyxis only if you:

• Are at least 18 years old (or the age of majority in your region),
• Have the legal authority to enter into a binding agreement,
• Are not barred from using the Service under applicable laws.

If you are using Elyxis on behalf of an organization, you represent that you have the authority to bind that organization.

3. Accounts & Registration

You may be required to create an account. You agree to:

• Provide accurate and complete information,
• Keep your login credentials secure,
• Notify us of unauthorized access,
• Be responsible for activity under your account.

We may suspend or terminate accounts for violation of these Terms.

4. Early Access / Beta Services

Elyxis is currently offered as an early access / beta service. This means:

• Features may change or be removed,
• Uptime is not guaranteed,
• Data and configuration may be lost, corrupted, reset, or deleted,
• The Service is provided "AS IS".

Beta features, updates, configuration changes, and service interruptions may affect stored data or connected systems. We do not guarantee data durability, backups, or successful recovery. Maintain independent backups and test with data you can afford to lose before relying on the Service for important work.

Your feedback may be used by us without restriction.

5. Fees & Payment

Some features may require paid subscriptions. Fees, plans, and terms will be shown in your account or on our website.

• Fees are non-refundable unless required by law,
• Taxes may apply,
• Pricing may change with prior notice.

6. Acceptable Use

You agree not to:

• Break any applicable law,
• Attempt to hack, disrupt, or harm the Service,
• Misuse or overload our infrastructure,
• Upload malware,
• Copy or reverse-engineer Elyxis,
• Use Elyxis to build a competing product,
• Share illegal, harmful, or infringing content.

We may investigate violations and suspend access.

7. Intellectual Property

Elyxis retains ownership of all platform intellectual property, excluding "Your Data". You may not copy, distribute, or modify the Service except as allowed by these Terms.

Your Data

You retain all rights to content and data you upload ("Your Data"). You grant Elyxis a license to process and store Your Data as needed to provide the Service.

Backups and connected data

You are responsible for maintaining independent copies of Your Data and configuration, including data in systems you connect to Elyxis. Review proposed actions, access permissions, and generated configurations before running them. The Service is not a backup, archival, or disaster-recovery service. These responsibilities do not limit any obligations we have under applicable privacy or data-protection law.

8. Privacy

Our collection and use of personal information is governed by the Privacy Policy. Optional website analytics requires a separate choice through Cookie settings. Accepting these Terms or requesting beta access does not opt you into analytics or marketing emails. Where applicable law requires consent for another purpose, we will seek that consent separately.

9. Third-Party Services

Elyxis integrates with third-party systems (cloud platforms, AI models, identity providers, billing services, etc.). These are governed by their own terms, and Elyxis is not responsible for their performance or security.

10. Feedback

Any feedback you submit may be used by Elyxis without obligation or compensation.

11. Confidentiality

Both parties may receive confidential information from the other. Confidential information must be protected and not shared without permission, except as required by law.

12. Disclaimer

To the fullest extent permitted by applicable law, the Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, including merchantability, fitness for a particular purpose, accuracy, reliability, availability, or non-infringement. We do not guarantee uninterrupted or error-free operation, defect resolution, preservation of data, or restoration of lost data.

AI-generated outputs and configurations may be incomplete or incorrect. You are responsible for evaluating results and applying appropriate review, testing, and safeguards before using them in business decisions or connected systems.

13. Limitation of Liability

To the fullest extent permitted by law:

• Elyxis is not liable for loss, deletion, corruption, alteration, or loss of access to data or configuration, or for the costs of recovering or recreating them, arising from use of or inability to use the Service, including beta features and connected third-party systems.
• Elyxis is not liable for indirect, incidental, or consequential damages, including loss of profits, revenue, business opportunities, or business interruption.
• Our aggregate liability for claims arising from the Service will not exceed the greater of the fees you paid to Elyxis for the Service in the 3 months immediately preceding the event giving rise to the claim or USD $100.

These exclusions and limits apply whether a claim arises in contract, tort (including negligence), or otherwise, even if the possibility of loss was foreseeable or brought to our attention. Nothing in these Terms excludes or limits liability, remedies, or statutory rights to the extent that applicable law prohibits doing so.

14. Indemnification

You agree to indemnify and hold Elyxis harmless from claims arising from:

• Your use of the Service,
• Your Data,
• Your violation of these Terms,
• Your violation of any laws or rights of others.

15. Termination

You may stop using the Service at any time. We may suspend or terminate your access for violations of these Terms, risks to the Service or other users, discontinuation of early access, or legal requirements. Some obligations survive termination.

16. Changes

We may update these Terms at any time. If we make material changes, we will notify you (for example, via email or in-app notice). Your continued use of the Service constitutes acceptance of the updated Terms.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Nothing in these Terms excludes or limits any rights or protections that apply under mandatory law and cannot be excluded by agreement.
